Terms of Service

1. Acceptance of Terms

By accessing or using the services, website, or software provided by Ora Computing FlexCo ("Ora", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use our services.

2. Description of Services

Ora Computing provides LLM compression software, APIs, and compressed model artefacts that allow customers to reduce the size and inference cost of large language models while preserving accuracy ("Services"). The specific features, capabilities, and service levels are defined in any order form or statement of work agreed between the parties.

3. Accounts and Access

Access to certain Services may require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at info@oracomputing.com upon becoming aware of any unauthorised use of your account.

4. Intellectual Property

All software, algorithms, models, documentation, and other materials provided by Ora are and remain the exclusive intellectual property of Ora Computing FlexCo or its licensors. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable licence to use the Services solely for your internal business purposes during the term of your agreement with us.

Any models or outputs you provide to our compression pipeline remain your property. By submitting models or data to our Services, you grant Ora a limited licence to process that material solely for the purpose of providing the requested Services to you.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Reverse-engineer, decompile, or attempt to extract the source code of our software.
• Resell, sublicense, or redistribute the Services without our prior written consent.
• Use the Services to compress or distribute models in violation of third-party licences.
• Attempt to gain unauthorised access to our systems or networks.
• Use the Services in any way that could harm, disable, or impair our infrastructure.

6. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC COMPRESSION RATIO OR ACCURACY BENCHMARK WILL BE ACHIEVED FOR YOUR PARTICULAR MODEL OR USE CASE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORA COMPUTING FLEXCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate the agreement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice. Upon termination, your right to access and use the Services ceases immediately. Sections 4, 6, 7, 8, and 10 survive termination.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Vienna, Austria. If you are a consumer in the EU, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
